Eagers Automotive has announced plans to acquire the remaining 20% of its BYD retail joint venture, moving towards full ownership of one of Australia’s fastest-growing automotive retail operations.
The Eagers BYD retail agreement, announced on 26 October 2026, will increase the company’s ownership of EV Dealer Group from 80% to 100%, subject to completion.
The binding, unconditional agreement follows several years of investment in BYD’s Australian retail operations and comes as the Chinese manufacturer continues expanding its presence in the local new-vehicle market.
Eagers expects the acquisition to deliver a 5.0–5.5% earnings benefit, measured against its stated pro forma underlying operating profit before tax for the 12 months to 30 June 2026.
Eagers BYD Retail Acquisition: Key Details
Under the agreement, Eagers will acquire the remaining 20% interest in EV Dealer Group Pty Ltd, the company responsible for its BYD retail joint venture.
The transaction includes:
- Ownership: Increasing from 80% to 100%
- Agreement: Binding and unconditional, announced 26 October 2026
- Consideration: Cash and Eagers Automotive ordinary shares
- Share component: 1,126,779 Eagers shares, valued at approximately $21.1 million at the time of announcement
- Share restrictions: 12-month voluntary escrow following completion
- Expected completion: By 31 October 2026
- Expected earnings accretion: 5.0–5.5% on Eagers’ stated pro forma basis
The cash component has not been publicly disclosed, meaning the total acquisition consideration cannot be established from the announcement alone.
The earnings accretion estimate is based on the company’s underlying operating profit before tax calculations rather than a guaranteed increase in future reported earnings.
How Eagers Built Its BYD Retail Business
The relationship between Eagers Automotive and BYD’s Australian retail operations dates back to the brand’s introduction in 2022.
Eagers initially established a joint venture with EVDirect, the business founded by Luke Todd that introduced BYD passenger vehicles into Australia.
The arrangement gave Eagers an important position in the distribution and retail development of a new automotive brand entering the Australian market.
Eagers subsequently increased its ownership of the retail venture from 49% to 80% in July 2023.
The latest agreement represents the next stage in that progression, eliminating the remaining minority ownership interest.
Subject to completion, EV Dealer Group will become a wholly owned subsidiary of Eagers Automotive.
BYD’s Australian Distribution Model Has Changed
The proposed acquisition follows an important change in BYD’s Australian distribution arrangements.
In July 2025, BYD Australia assumed responsibility for national vehicle distribution from EVDirect, moving the manufacturer towards a factory-backed distribution model.
EVDirect’s activities subsequently became more focused on vehicle retailing through EV Dealer Group.
The distinction is significant.
Eagers is acquiring full ownership of its BYD retail joint venture, not ownership of BYD’s Australian distribution business or the BYD automotive brand.
BYD Australia remains responsible for the manufacturer’s national distribution operations, while Eagers continues as a major retail partner.
This structure separates the manufacturer’s distribution responsibilities from the dealership operations responsible for selling and supporting vehicles.
BYD’s Australian Sales Continue to Expand
The acquisition comes during a period of substantial growth for BYD in Australia.
The manufacturer has rapidly expanded its vehicle range, introducing additional electric and plug-in hybrid models while strengthening its national dealership network.
BYD reported 8,191 Australian vehicle deliveries in September 2026, representing a 61.1% increase compared with September 2025.
The company has also reported surpassing 150,000 cumulative Australian vehicle deliveries since entering the local passenger vehicle market in late 2022.
BYD’s growing vehicle population creates opportunities beyond initial new-car sales, including servicing, parts supply, accessories and long-term customer relationships.
For a major dealership operator such as Eagers, these activities are an important part of the broader automotive retail business.
What Does Full Ownership Mean for Eagers Automotive?
Acquiring the remaining minority interest gives Eagers full economic ownership of EV Dealer Group, subject to completion of the transaction.
That means the group will no longer allocate a portion of the venture’s financial results to an outside minority shareholder.
The move also consolidates Eagers’ investment in BYD retail operations as competition among Chinese automotive manufacturers continues to increase.
For Australia’s dealership sector, the significance extends beyond the change in shareholding.
Established dealer groups provide manufacturers with access to retail facilities, experienced management teams, sales operations, workshop infrastructure and customer support.
As newer automotive brands expand, these capabilities can become increasingly important to their long-term development.
The acquisition also comes during a period of broader investment and expansion by Eagers Automotive, including its international operations and other Australian dealership interests.
A Significant Move in Australia’s Changing Automotive Retail Market
The Eagers BYD retail acquisition reflects the increasing importance of Chinese automotive manufacturers to established Australian dealership groups.
Rather than representing a withdrawal from the market, the agreement demonstrates Eagers’ willingness to increase its financial exposure to BYD’s retail operations.
The transaction does not, by itself, establish changes to existing dealerships, employees or customer arrangements.
However, full ownership will give Eagers a direct financial interest in all of EV Dealer Group’s future results.
As Chinese manufacturers continue gaining market share, the relationship between factory-backed distributors and major Australian dealership groups is becoming an increasingly important part of the automotive retail landscape.
Eagers’ move towards full ownership of its BYD retail venture is another example of that development.
