Penske Automotive Group has agreed to be taken private by Penske Corporation and Japanese trading company Mitsui & Co. in a transaction valuing the international automotive and transportation business at approximately US$16.3 billion.
Announced on 15 October 2026, the agreement will see the remaining publicly held shares in Penske Automotive Group acquired for US$212 per share in cash.
If completed, the transaction will end the company’s listing on the New York Stock Exchange and leave Penske Corporation holding approximately 64% of the business, with Mitsui owning the remaining 36%.
The transaction is expected to close in the first quarter of 2027, subject to shareholder and regulatory approvals.
Although the agreement involves a US-listed company, Penske Automotive Group has substantial operations in Australia and New Zealand, including commercial-vehicle distribution, engines, power systems and automotive retail.
How the transaction is structured
Penske Automotive Group entered into a merger agreement with Motown Acquisition Corp., an entity established by Penske Corporation and Mitsui for the transaction.
Under the agreement, shareholders outside the existing investor group will receive US$212 per share in cash.
The price represents an 8.8% premium to Penske Automotive Group’s closing share price immediately before the announcement.
The transaction values the company at approximately US$16.3 billion on an enterprise-value basis, which includes its financial obligations. It is not the cash purchase price for the remaining publicly held shares.
Penske Corporation and Mitsui already held a combined majority interest in Penske Automotive Group before the agreement.
Penske Corporation and its subsidiary held approximately 52.1%, while Mitsui held approximately 20.3%.
Following completion, their respective ownership interests are expected to increase to approximately 64% and 36%.
The agreement follows an initial non-binding proposal submitted in July 2026, which offered US$210 per share for the outstanding publicly held shares.
A special committee of independent directors reviewed the proposal before recommending the final agreement to the board.
Penske’s Australian and New Zealand operations
Penske Automotive Group’s Australian operations are a significant part of its international business.
Through Penske Australia & New Zealand, the group distributes commercial vehicles and provides engines, power systems, parts and associated services.
Its commercial-vehicle portfolio includes Western Star Trucks, MAN Truck & Bus and Dennis Eagle.
The business also supports a range of transport, industrial, energy and marine applications through its engine and power systems operations.
Penske Australia & New Zealand operates across both countries, supplying equipment and providing service support to customers in multiple industries.
These activities extend well beyond passenger-vehicle retail and demonstrate the breadth of Penske Automotive Group’s Australian presence.
Porsche dealerships in Melbourne
The group’s Australian passenger-vehicle retail interests include Penske Automotive Australia, which operates Porsche dealerships in Melbourne.
These businesses form part of the broader Penske Automotive Group portfolio involved in the proposed transaction.
Penske Automotive Group is also a major automotive retailer internationally, with dealership operations across the United States, United Kingdom, Canada, Germany and Italy.
Its portfolio includes luxury and premium passenger-vehicle brands alongside commercial truck retailing and transportation-related businesses.
The combination of passenger-vehicle retail, commercial vehicles and power systems makes the group more diversified than a conventional dealership operator.
A major international automotive business
Headquartered in Bloomfield Hills, Michigan, Penske Automotive Group reported revenue of approximately US$31.8 billion in 2025.
The company employed approximately 28,600 people as at 30 June 2026.
Its operations include new and used passenger-vehicle sales, vehicle servicing, parts, commercial truck retailing, vehicle distribution and related transportation services.
The company is one of the world’s largest automotive retailers and maintains operations across several major international markets.
The proposed transaction would change its ownership and public-market status, rather than constitute a sale of its individual operating businesses.
No changes to Penske Automotive Group’s Australian operations have been announced as part of the agreement.
Roger Penske’s long involvement in automotive business
Roger Penske, chairman and chief executive of Penske Automotive Group, has been involved in the automotive industry for more than six decades.
His business interests began with automotive retailing in the 1960s and expanded into vehicle distribution, commercial transportation, logistics and motorsport.
Penske Corporation’s interests include Penske Truck Leasing, Penske Transportation Solutions and motorsport operations associated with Team Penske and Indianapolis Motor Speedway.
The wider Penske organisation has become one of the most recognisable names in international automotive business.
However, Penske Corporation and Penske Automotive Group are distinct corporate entities. The proposed transaction concerns the listed Penske Automotive Group, not every business associated with Roger Penske or Penske Corporation.
Mitsui’s role in the agreement
Mitsui & Co. has been a significant shareholder in Penske Automotive Group for many years.
The Japanese trading company operates internationally across sectors including transportation, energy, machinery, infrastructure and industrial services.
Under the proposed transaction, Mitsui’s ownership interest in Penske Automotive Group will increase from approximately 20.3% to 36%.
Mitsui and Penske Corporation have committed equity financing to support the acquisition of the outstanding shares.
The agreement is not subject to a financing condition, although completion remains dependent on the required approvals and other closing conditions.
What happens next?
The proposed transaction requires approval from Penske Automotive Group shareholders, including a separate approval by unaffiliated shareholders, as well as applicable regulatory clearances.
Completion is expected during the first quarter of 2027.
Once finalised, Penske Automotive Group will become privately held and its shares will cease trading on the New York Stock Exchange.
For Australia, the immediate significance is the proposed ownership change affecting a major participant in the local commercial-vehicle, power systems and premium automotive retail sectors.
The agreement does not announce dealership closures, operational restructuring or changes to local employment.
Until completion, Penske Automotive Group remains a publicly listed company.
The transaction is a major development in international automotive ownership, with direct relevance to several established Australian transport and automotive businesses.
